A broad category and a technical method

An electronic signature is a broad concept for signing through electronic means. A digital signature is a cryptographic method that can help verify document integrity and the signing credential. The terms are related but not identical. US E-SIGN law addresses the legal effect of electronic records and signatures, while preserving other requirements and specific exceptions. It does not make every digital workflow automatically suitable for every document. A business should identify the transaction, parties, required evidence and applicable rules before choosing a signing process. This is an operational comparison, not a legal opinion on a particular agreement.

Design evidence around the actual transaction

Ask how the service establishes signer identity, records intent and protects the completed document from undetected alteration. Review the audit trail and whether the final record can be retrieved without the original employee’s account. A stronger identity check may be appropriate for one transaction but unnecessarily burdensome for another. Confirm the signer’s authority to bind the organization rather than assuming a familiar email address is sufficient. Where consumer disclosures or special formalities apply, obtain appropriate review of consent and delivery requirements before replacing a paper process.

Test completion and long-term retrieval

Run a harmless sample through invitation, signing, correction and final export. Confirm that all parties receive the right version and that the business retains the executed document with its supporting evidence. Test what happens if the account closes or the subscription ends. Keep the retention decision aligned with the company’s record policy and applicable obligations. A hypothetical team that can show a signature image but cannot recover the agreed terms has a serious evidence gap. Choose a process that preserves the transaction, not merely a visual mark on a page. Review exceptions with a qualified adviser when the document requires special treatment.

  • Distinguish identity, intent, integrity and authority.
  • Review special consent or document requirements before rollout.
  • Export and retrieve the completed record and audit evidence.

Frequently asked questions

Are electronic and digital signatures identical terms?

No. Digital signatures describe a cryptographic method within the broader electronic-signature landscape.

Does a signing service prove a person can bind a company?

Not automatically. Verify the signer’s authority and the transaction’s requirements separately.
